FULFILLMENT POLICY.
This Fulfillment Policy (the “Policy”) informs you about our delivery policy and the rules and guidelines relating to payment for services or the refunds for services purchased from our Company. Please read this Policy, together with our Website Terms and Conditions, carefully to understand your rights and also understand the requirements for payment of services or the refund. Our services are billed in U.S. Dollars.
At Strato, we ensure that the services we provide are satisfactory. Customer satisfaction is our utmost priority as we take all complaints about the services we render very seriously. We undertake to use reasonable efforts to provide the Services in accordance with this Fulfillment Policy and New Zealand Law and to exercise reasonable care, skill and diligence and using suitably skilled, experience and qualified personnel.
These policies will aid users determine how Megan Sheerin Limited trading as Strato fulfills orders and payments.
The following terminology applies to these Terms and Conditions, our Privacy Statement and our Website Terms and Conditions and all Agreements: “Client”, “User” “You” and “Your” refers to you, the person on this website, the legal entity you represent and compliant to the Company’s terms and conditions, either therein or in a separate written contract. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company, Megan Sheerin Limited trading as Strato. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. “Confidential Information” means the terms of this Agreement and any information that is not public knowledge and that is obtained from the other party in the course of, or in connection with, the Agreement. “Our Confidential Information” includes Intellectual Property owned by Us (or our licensors) including the Strato Software. “Data” means all data, content and information (including personal information) owned held used or created by or on behalf of the Client that is stored using or inputted into the Services. “Force Majeure” means an event that is beyond the reasonable control of a party excluding; an event to the extent that it could have been avoided by a party taking reasonable steps or reasonable care; or a lack of funds for any reason. “Intellectual Property Rights” includes copyright and all rights existing anywhere in the world conferred under statute, common law or equity, relating to inventions (including patents) registered and unregistered trademarks and designs, circuit layout, data and databases, confidential information, know-how, and all other rights resulting from intellectual activity. “Intellectual Property” has a consistent Term meaning and includes any enhancement, modification or derivative work of the Intellectual Property. “Payment Terms” means the payment terms as set out in our pricing and payment terms. “Permitted Users” means those personnel of the Client who are authorized to access and use the Services on the Client's behalf. “Personal Information” has the meaning given in the Privacy Act 2020. “Services” means the digital delivery of Business, Brand and Marketing Strategy Services. Including but not limited to: Assistance with implementation and integration; Training; Consulting and User support. “Strato Software” means the software owned by Megan Sheerin Limited trading as Strato (and its licensors) that is used to provide the service. “Website” means the internet site at the domain www.meetstrato.com.
All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing laws of New Zealand. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.
DELIVERY POLICY
At Strato, we sell Business, Brand and Marketing Strategy Services:
- Assistance with implementation and integration
- Training
- Consulting; and
- User support.
We deliver our services to clients via electronic and telephonic means pursuant to our clients’ requests.
YOUR STRATO ACCOUNT
To access and use the Strato Services you must subscribe to Strato and register for a Strato Account. To complete your Account registration, you must provide us with your full legal name (the name of your business or organization), business address, phone number and valid email address (your primary email address and any other information requested). Strato may reject a subscription for an account or cancel and existing account for any reason at our sole discretion. You confirm that you have the authority to enter into contracts on behalf of the User.
The Client and its personnel must use the Services in accordance with these Terms and Conditions solely for the Client's own internal business purposes relating to the development of their business, brand and marketing strategies and related activities and not resell, rent or make available the Services to any third party or otherwise commercially exploit the Services.
When accessing the Services, the Client and its personnel must not impersonate another person or misrepresent authorization to act on behalf of others or Strato, correctly identify the sender of all electronic transmissions; not attempt to undermine the security or integrity of the underlying Strato Software Solution; not use or misuse the Strato Software Solution in any way which may impair the functionality of the Strato Software Solution or impair the ability of any other user to use the Services; not attempt to view, access or copy any material or data other than that which the Client is authorized to access and to the extent necessary for the Client and its personnel to use the Strato Software Solution in accordance with this policy; neither use the Strato Software Solution in a manner, nor transmit, input or store any data that breaches any third party right (including Intellectual Property Rights and privacy rights) or is objectionable, incorrect or misleading; and comply with any terms of use on the website, as updated from time to time.
All Intellectual Property Rights in the Services, the Website and the Strato software solution is and remains the property of Megan Sheerin Limited trading as Strato (and its licensors). The Client must not contest or dispute that ownership, or the validity of those Intellectual Property Rights. Title to and all Intellectual Property Rights in the Data (as between the parties) remains the property of the Client.
Megan Sheerin Limited trading as Strato will use reasonable efforts to ensure that the Services are available on a 24/7 basis, other than the provision of Consultancy Services; the timing of which will be by mutual agreement. However, it is possible that on occasion the Services may be unavailable to permit maintenance or other development activity to take place, or in the event of a Force Majeure. Megan Sheerin Limited trading as Strato will use reasonable efforts to publish on the Website and/or notify the Client by email advance details of any unavailability.
The Client agrees that Megan Sheerin Limited trading as Strato may store Data (including any Personal Information) in secure servers in the United States of America that may access that Data (including any Personal Information) in the United States of America and New Zealand from time to time.
The Client may have up to a maximum of three (3) personnel as Permitted Users, in which case the Client will provide Strato with the Permitted Users' names and other information that is reasonably required. For additional Permitted Users, please contact us at [email protected].
You agree to pay Strato all applicable fees for using the Service per the Pricing and Payment Terms presented to you. Use of the Service is on a subscription basis, and you will be charged the applicable fees upfront, or monthly in advance. Based upon the subscription purchased, your subscription will automatically renew at the end of each month (the billing cycle) unless you provide 30 days' prior notice of your wish to terminate your subscription. You must keep a valid payment method on file with us to pay all incurred and recurring fees and Strato will continue to charge the authorized payment method for applicable fees until your subscription is terminated and all outstanding fees have been paid in full.
REFUNDS
We may offer refunds in the following conditions:
- If the service has not been performed at all during the term of our contract.
EXCEPTIONS
Notwithstanding other provisions of this Policy, we may refuse to grant refunds if:
- You received what you ordered, but simply changed your mind about the service.
- You were aware or notified of the problems with the service before making the purchase.
- You did not like your purchase or realized you had no use of it.
- You received the service/product and failed to make a report within 7 days from the date of the receipt.
REFUND POLICY
At Strato, we sell digital Business, Brand and Marketing Strategy Services. No returns can be made but in some limited circumstances we may offer refunds. Our refund policy has been explained above.
CANCELLATION POLICY
The following are to note:
• Once a contract with Strato has been signed, cancellations for ongoing access past the initial three (3) months' subscription are not permitted unless 30 days' prior notice is provided.
PROJECT ABANDONMENT
If after repeated attempts by Strato to begin the service (whether it being access to the Strato software or providing Strato Consultancy Services), continue service, or finalize the delivery of the Services, the Client fails to participate, or becomes otherwise unresponsive to Strato’s requests and such continues for a period of thirty (30) days, the project will, at the option of Strato, be abandoned, whereupon Strato may reduce any refund for the Services to the Client to zero, and Client hereby provides its agreement to such forfeiture of any amounts of the Fees that have been paid by the Client for the Services as purchased or as described in the original Work Order, wherever applicable.
MODIFICATIONS
Strato reserves the right, at its discretion to modify this Agreement, fees, charges and terms at any time. The User shall be responsible for reviewing and becoming familiar with any such modifications, Use of the Website by the User following such notification constitutes the User’s acceptance of the changes in terms and conditions.
HOW TO MAKE A COMPLAINT
If you are dissatisfied with the service provided to you and you are eligible for a refund under this Policy, you must send an email to [email protected] stating your complaints and we will immediately verify your complaints. Refunds are issued at our discretion as they may be accepted or rejected.
